(Reuters) -Glass Lewis, one of the best known proxy advisers, sued Texas on Thursday over a new, first-of-its-kind state law limiting its ability to give shareholders advice on diversity, environmental and governance practices.
In a complaint filed in Austin, Texas federal court, Glass Lewis says the law was unconstitutional, violating its First Amendment right to freedom of association and protection against viewpoint discrimination.
Glass Lewis also said legislators intended the law to counteract speech on hot-button issues they perceived as “increasingly political with a hard left bent.”
